Code of Ethics

Article I. Purpose and General Provisions
The purpose of this Code of Ethics is to serve as a guide for the conduct of PACE members. This Code shall be appended to the final Bylaws of the organization. Nothing in this Code shall be construed as encouraging, condoning, or otherwise inciting unethical, unfair, or illegal conduct. A copy of this Code shall be made available to members on the PACE World Wide Web site, at PACE headquarters in Washington, D.C. and at each authorized branch office.
Article II. Conduct of PACE Members
PACE members, including members of the Board of Directors, are bound by their respective rules of professional conduct, or are otherwise required to conduct their relations with the public and other PACE members in an honest, ethical and nonconfrontational manner. In particular, all activities constituting unfair business practices shall be avoided by individual members. Public statements or publications of PACE members do not represent the views of PACE without authorization of the Board of Directors. When necessary, the Board of Directors shall meet to decide whether to terminate membership rights for violation of this Code of Ethics.
Article III. Conflicts of Interest
PACE is a voluntary public-interest organization established to promote the exchange of views and information on China's environment and conduct education and training with the goal of enhancing China's environmental protection efforts. In so doing, it is necessary that PACE avoid conflicts of interest by refraining from promoting individual members or their institutions in dealings with the Chinese government or resolving disputes between individual members, between members' affiliate institutions, or between members and their affiliate institutions and the Chinese government.
Article IV. Resolution of Disputes Between PACE and PACE Members
The PACE Board of Directors shall, as appropriate, endeavor to resolve disputes between the PACE Board of Directors and individual PACE members within the limits prescribed in Article III of this Code. In so doing, the PACE Board of Directors may designate neutral individuals from outside the PACE Board of Directors and membership body to assist with the resolution of a particular dispute.
Article V. Confidentiality
The confidentiality of secret or otherwise sensitive information received in the conduct of PACE-related activities shall be maintained.
Article VI. Amendment of the Code of Ethics
This Code of Ethics may be amended by a simple majority vote of the Board of Directors.

道德准则
第一条、目的和总则
本道德准则为PACE会员的行为指南。它应被增补到本协会最终的章程中。本准则的任何内容都不能解释为鼓励、宽容、或煽动不道德、不公平、或非法的行为。本准则应从PACE网址、华盛顿特区PACE总部，或每一授权的分支办公室得到。
第二条、PACE会员的行为
PACE会员，包括理事会成员均受其各自专业行为规则的约束，或被要求以诚实、道德、和非对抗的方式处理与公众及PACE会员的关系。特别是，会员个人应避免构成不公平商务行为的活动。PACE会员未经理事会授权的公开声明或出版物不代表PACE的观点。如必要，理事会应开会决定是否因违反本道德准则而终止其会员权利。
第三条、利益争端
PACE是一个自愿的公益组织，旨在促进有关中国环境的看法和信息的交流，进行教育及培训，以达到加强中国环境保护工作的目的。为此，PACE有必要通过防止鼓励会员个人或其单位与中国政府打交道，或解决会员个人之间、会员的单位之间、或会员与他们所属的单位以及与中国政府之间的争端来避免利益冲突。
第四条、PACE与PACE会员间争端的解决
PACE理事会应在本准则第三条规定的限制内酌情努力解决理事会与PACE会员个人之间的争端。为此，PACE理事会可聘请PACE理事会和会员实体之外的个人来协助解决某一具体争端。
第五条、保密
对在进行PACE相关的活动中得到的秘密或其他敏感信息，应保密。
第六条、道德准则的修订
本道德准则可经理事会简单多数票表决而予以修订。
